Het antwoord bepaalt welke regels gelden. Voor Canton Coin heeft de Amerikaanse beurswaakhond SEC deze week een duidelijk signaal afgegeven. Dat gebeurt op een moment dat Wall Street steeds serieuzer bezig is met tokenisatie.<\/p><h2 class=\"wp-block-heading\">Wat heeft de SEC precies gezegd?<\/h2><p class=\"wp-block-paragraph\">De afdeling Corporation Finance van de SEC schreef in een <a href=\"https:\/\/www.sec.gov\/rules-regulations\/no-action-interpretive-exemptive-letters\/division-corporation-finance-no-action\/canton-coin-110326\" target=\"_blank\" rel=\"noopener\">zogeheten no-action letter<\/a> dat de staf Canton Coin ziet als een digitale grondstof, in het Engels een digital commodity. Daarnaast laat de staf weten dat ze geen handhavingsactie zal aanraden over de manier waarop nieuwe Canton Coins worden aangemaakt.<\/p><p class=\"wp-block-paragraph\">Een no-action letter kun je zien als een schriftelijke geruststelling vooraf. Een partij legt uit hoe iets werkt, en de staf antwoordt: zolang het zo gaat als beschreven, komen wij er niet achteraan. Dat is geen wet en ook geen besluit van de voltallige commissie. Het is wel een stevig signaal over hoe de toezichthouder ernaar kijkt.<\/p><h2 class=\"wp-block-heading\">Wat is Canton eigenlijk?<\/h2><p class=\"wp-block-paragraph\">Canton is een blockchain-netwerk dat speciaal is gebouwd voor banken en andere financi\u00eble instellingen. Het grote verschil met bijvoorbeeld Ethereum: partijen zien alleen de gegevens van transacties waar ze zelf bij betrokken zijn, zodat gevoelige informatie afgeschermd blijft. Nieuwe munten ontstaan als beloning voor partijen die het netwerk draaiende houden en er toepassingen op bouwen. Juist dat aanmaken, het minten, lag gevoelig. Krijg je munten in ruil voor werk, of lijkt het meer op een belegging waarbij je op de inspanning van anderen rekent? Volgens de SEC-staf valt het in dit geval niet in de categorie effecten.<\/p><h2 class=\"wp-block-heading\">Waarom dit moment telt<\/h2><p class=\"wp-block-paragraph\">De timing is opvallend. Een week eerder lanceerde DTCC, de grote Amerikaanse partij die achter de schermen de afwikkeling van effectenhandel regelt, een tokenisatiedienst die deels op het Canton Network draait. Tokenisatie betekent dat je traditionele bezittingen zoals obligaties of aandelen als digitale tokens op een blockchain zet.<\/p><p class=\"wp-block-paragraph\">Voor een grote instelling is juridische onzekerheid een rem. Niemand bouwt graag een systeem op een fundament waarvan je niet weet of het straks wordt afgekeurd. Met de brief van de SEC-staf is \u00e9\u00e9n belangrijke vraagteken rond de munt van het netwerk weggenomen. Yuval Rooz, topman van Digital Asset, het bedrijf achter Canton, noemde de uitspraak in een <a href=\"https:\/\/www.prnewswire.com\/news-releases\/sec-recognizes-canton-coin-as-a-digital-commodity-providing-additional-regulatory-clarity-for-institutional-adoption-302928809.html\" target=\"_blank\" rel=\"noopener\">persbericht<\/a> extra regelgevende duidelijkheid voor instellingen die willen instappen.<\/p><h2 class=\"wp-block-heading\">Geen vrijbrief, wel een richting<\/h2><p class=\"wp-block-paragraph\">Het is goed om te weten wat deze brief niet doet. Hij geldt voor de situatie zoals die aan de SEC is voorgelegd. Verandert de manier van minten wezenlijk, dan kan het oordeel ook anders uitvallen. En een staf-standpunt kan later door de commissie zelf of een rechter anders worden beoordeeld.<\/p><p class=\"wp-block-paragraph\">Toch past de stap in een bredere lijn. De SEC geeft de laatste tijd vaker per geval aan hoe ze naar specifieke tokens en hun werking kijkt. Daarmee ontstaat stukje bij beetje een praktijk waar projecten zich aan kunnen spiegelen, zolang er in de VS nog geen alomvattende cryptowet ligt.<\/p><p class=\"wp-block-paragraph\">Voor Europese partijen verandert er direct niets: hier gelden de MiCA-regels. Maar omdat Canton draait op de deelname van grote financi\u00eble spelers, die vaak aan beide kanten van de oceaan actief zijn, telt Amerikaanse duidelijkheid zwaar mee.
